Legal Alert | Registration and Post-Registration of Companies in Tanzania goes Online

The Business Registrations and Licensing Agency (BRELA) recently completed the development of an Online Registration System (ORS) and with effect from 1 February 2018, all new company incorporations are to be made through the ORS. The ORS comprises modules that will allow registration of companies, business names, trade and service marks and their respective post registrations as well as issuance of patents and industrial licenses.

Companies registered before the commencement of the online registration system on 1 February 2018 must be reconciled at the Registry and their up-to-date status approved by the Registrar of Companies before being entered into the ORS. This can be done by the companies’ owners, directors or company secretaries.

No filings or changes will be accepted without companies being reconciled. Accordingly, non-compliant companies will be unable to remove or appoint directors, record mortgages or file any other changes until all the missing documents in the company file are provided by the company and cleared by the Registrar of Companies.

The ORS requires all current and future directors, and shareholders who are Tanzanian Nationals to have a Tax Identification Number from the Tanzania Revenue Authority. Additionally, all directors and shareholders who are Tanzanian Nationals must also have a National Identification Number issued by the National Identification Authority which has to be provided in the ORS. Foreign directors and shareholders will need to provide their passport numbers in the ORS.
